Terms of Service

Plain English first: We host beautiful digital wedding invitations. You pay $9, we host your card for 30 days. You own your content. We don't sell your data. Australian Consumer Law applies. That's the short version — the full version is below.

1. About Kadly

Kadly is operated by Irfan Rafiq trading as Kadly, ABN: 99 818 138 075, New South Wales, Australia. Kadly is a digital wedding invitation platform. You create a personalised invitation card, pay a one-time fee, and we host it at a unique public URL for 30 days. You can extend hosting with a monthly subscription.

By using Kadly, you agree to these Terms. If you do not agree, do not use the service.

2. Eligibility

  • You must be at least 18 years old to create an account and make purchases.
  • You must provide accurate information when creating your account.
  • One account per person. Shared or automated accounts are not permitted.
  • By using Kadly, you represent that you meet these requirements.

3. Your Content

Ownership

You retain full ownership of all content you upload or create on Kadly — including names, photos, stories, and guest data. You grant Kadly a limited, non-exclusive, royalty-free licence to store, process, display, and transmit your content solely for the purpose of providing our service. This licence ends when you delete your card or account.

Your responsibilities

  • You must have the right to use all content you upload (photos, text, names, etc.).
  • You must not upload content that is illegal, defamatory, pornographic, hateful, or infringes third-party rights.
  • You are responsible for the accuracy of your invitation details (date, venue, names).
  • You are responsible for any legal obligations arising from inviting guests and collecting their RSVP data.

DMCA / Copyright

If you believe any content on Kadly infringes your copyright, contact us at privacy@kadly.co with: (a) a description of the copyrighted work; (b) the URL where the infringing content appears; (c) your contact details; and (d) a statement that you have a good-faith belief the use is not authorised. We will act on valid notices within 5 business days.

4. Payments & Pricing

Fees

  • Launch fee ($9 USD): One-time payment to publish your card and host it for 30 days.
  • Extension subscription ($5 USD/month): Keeps your card live beyond 30 days. Cancel anytime.
  • Add-ons: AI Photo Restyle ($5 USD), Family Photo Restoration ($10 USD) — one-time, per card.

All prices are in USD. Applicable taxes (including Australian GST) are calculated and added at checkout via Stripe.

Refunds

  • Launch fee: Full refund if requested within 24 hours of payment, provided the card has not yet been published to a public URL. Once published, the service has been delivered and no refund is issued — except where required by applicable consumer law.
  • Extension subscription: No partial refunds. Cancel before your next billing date to stop future charges.
  • Add-ons: No refund once the AI processing has begun.

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law (Competition and Consumer Act 2010 (Cth), Sch 2) that cannot lawfully be excluded. Where Kadly fails to meet a consumer guarantee, you are entitled to a remedy under the Australian Consumer Law.

Chargebacks

If you initiate a chargeback without first contacting us at hello@kadly.co to resolve the issue, we reserve the right to suspend your account pending investigation.

5. Hosting, Expiry & Archiving

  • Cards are hosted for 30 days from the date of publication.
  • We send an email reminder at Day 25 to the address on your account.
  • On Day 30, if no extension subscription is active, the card is archived (no longer publicly accessible) but your data is retained.
  • Archived cards can be restored by purchasing an extension within 180 days. After 180 days, we may permanently delete the card and its associated data.
  • We reserve the right to modify hosting duration for new plans, with 30 days notice to existing customers.

6. Guest Data & Privacy

When guests submit RSVPs, they provide personal information (name, email, phone, attendance, dietary requirements). For the purposes of data protection law:

  • You (the card owner) are the data controller for guest data you collect via Kadly.
  • Kadly acts as your data processor, storing and displaying that data solely on your behalf.
  • You must comply with all applicable privacy laws (including GDPR, Australian Privacy Act, PDPA Malaysia, UU PDP Indonesia, and Singapore PDPA) when collecting, using, or contacting your guests.
  • We do not use guest data for our own marketing or share it with third parties beyond what is needed to operate the service.

7. Acceptable Use

You must not:

  • Use Kadly for any unlawful purpose or in violation of these Terms.
  • Attempt to access, scrape, reverse-engineer, or decompile any part of Kadly.
  • Use Kadly to distribute spam, malware, or unsolicited communications.
  • Resell, white-label, or sublicense Kadly without a written agreement with us.
  • Impersonate another person or entity.
  • Interfere with or disrupt the integrity or performance of Kadly.
  • Create cards for fictional, fraudulent, or deceptive events.

We reserve the right to remove content or terminate accounts that violate these rules.

8. Intellectual Property

Kadly, its logo, templates, design system, software, and all related intellectual property are owned by Irfan Rafiq trading as Kadly. Nothing in these Terms grants you any right to use our brand, trademarks, or intellectual property beyond what is strictly necessary to use the service.

9. Service Availability

  • We aim for 99.5% uptime but do not guarantee uninterrupted access.
  • We may perform maintenance, which we will announce where possible.
  • We are not liable for losses arising from downtime, including missed RSVPs. We recommend exporting your RSVP data regularly via the CSV download in your dashboard.

10. Limitation of Liability

To the maximum extent permitted by law (including the Australian Consumer Law), our total liability for any claim relating to Kadly is limited to the amount you paid us in the 12 months prior to the claim. We are not liable for indirect, consequential, incidental, or punitive damages.

11. Termination

  • You may delete your account at any time. Active cards are archived; your data is retained per our retention schedule (see Privacy Policy).
  • We may suspend or terminate your account with reasonable notice if you breach these Terms.
  • In cases of serious or repeated violations (e.g. illegal content, fraud), we may terminate immediately without notice.
  • Refund rights under Section 4 survive termination.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Both parties submit to the exclusive jurisdiction of the courts of NSW, except where applicable consumer law requires otherwise.

Note to Malaysian and Indonesian users: Nothing in these Terms excludes your statutory rights under Malaysian law (Consumer Protection Act 1999, PDPA 2010) or Indonesian law (UU No. 8/1999, UU PDP 2022).

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of Kadly after that date constitutes acceptance of the revised Terms. We maintain a history of significant changes at the bottom of this page.

14. Entire Agreement & Severability

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Kadly regarding the service. If any provision is found unenforceable, the remaining provisions continue in full force.
